Governance

Baker Hughes, a GE company ("BHGE") is governed by, among other things, a Stockholders Agreement that incorporates significant minority stockholder protections.  When BHGE was formed on July 3, 2017, the Stockholder’s Agreement was implemented to define the company’s bylaws and guidance principles. GE holds more than 50% of the company’s voting shares, including more than 50% of the voting power for the election of directors, making BHGE a “controlled company” as defined by New York Stock Exchange rulesThe BHGE Board and executive management recognize that the long-term interests of shareowners are advanced by responsibly addressing the concerns of many stakeholders and interested parties.
